The AFRIPRISE INVESTMENT PLC was incorporated on November 9, 1999, under Certificate of Registration No. 38280. It is a public limited liability Company established under the sponsorship of and pro-actively promoted by the Tanzania Chamber of Commerce, Industry and Agriculture (TCCIA) to expand its financing sources.
Establishment and Functions of the Company
TCCIA Investment PLC (DSE: TICL), TCCIA Investment Company Limited [TICL] is a public limited liability company that shareholders established to expand financing sources to participate meaningfully in the ownership and control of the Tanzanian economy. The Company launched public sale of its shares on the Dar es Salaam Stock Exchange (DSE) in March 2018. It is, therefore, regulated and supervised by the Capital Markets and Securities Authority (CMSA). According to the Company's Memorandum and Articles of Association (MEMARTS), TICL's principal activities involve investing in business enterprises, industrial, financial services, telecommunication, agriculture, mining, construction, real estate, and the service sector. The Company's mandate is reflected in its primary functions as per Company MEMARTS which is to mobilize and channel financial resources from its shareholders into viable investments. The investments are divided into two major categories: Short-term and long-term investments.

Governance
The Board of directors ("the Board") is the core of TICL's corporate governance system and is ultimately accountable and responsible for the performance and affairs of TICL. The Board explicitly exercises leadership, enterprise, integrity, and judgement in directing TICL to achieve continuing prosperity for its shareholders. The Board shall act in the Company's best interests in a manner based on transparency, integrity, accountability, and responsibility.

The current Board structure has two committees that serve various responsibilities as delegated to them by the Board.
Role and functions of the Board
The Board exercises explicitly leadership, enterprise, integrity and judgement in directing TICL to achieve continuing prosperity for its shareholders. The Board shall act in the Company's best interests in a manner based on transparency, integrity, accountability, and responsibility.
Committees of the Board
The Board has delegated certain functions to committees. The terms of reference identify matters reserved for the Board and Committees for decisions. The Board is aware that members collectively have sufficient qualifications and experience to fulfil the duties of the respective Committee. The Chairman appraises the entire Board of their activities every quarter through oral and/or written reports. The Chairman of the committees participates in setting and agreeing on the Agenda for meetings.
